Job Description

Key accountabilities and decision ownership: Define the strategic legal direction for all Contracting & advising functions in line with the company’s Corporate and Legal strategies, the company's Way, and customer-centric values. Supporting the company in the formulation of Guidance Notes, Policies and Contractual Forms & Procedures, to reflect Contractual local mandatory terms & applicable Egyptian Laws, in addition to the provision of internal legal support to Litigation and Compliance Teams regarding disputes, non-compliance issues and Policies awareness & enforcement. Playing Key Roles in the company's Legal Digital and Agile Transformation, along with Legal re-branding, by pursuing Proactive Approaches and maintaining a Business Model, in alignment with the company's Direction and Strategy, while playing a key role in the Cross-Functional New Projects Assessment Committee, through Early Involvement, Risk Assessment, and Providing Legal Opinions and continuous Guidance to the company's internal stakeholders. Lead Contract Management Across All Functions: Oversee and manage all commercial, finance, technology, HR, and enterprise contracts. Ensure consistent templates, risk controls, and compliance. Provide legal advice on complex or high-value agreements. Drive M&A and Corporate Transactions: Lead legal work for all mergers, acquisitions, joint ventures, and corporate restructurings. Manage due diligence, negotiate transaction documents, and coordinate with external counsel. Ensure compliance with Egyptian law and the Group governance. Governance, Compliance & Senior Advisory: Advise leadership on legal risks, regulatory issues, and strategic initiatives. Ensure corporate governance for entities, board matters, and legal compliance. External Legal Counsel Management: Select, oversee, and evaluate law firms supporting litigation, transactions, and specialized matters. Ensure cost-efficient legal spend and high-quality external deliverables. Manage the external law firm for litigation cases related to intellectual property rights and register the company's trademarks in accordance with the group policies.

Requirements

  • High Expertise, Practice & Strong Contracts Drafting skills, along with Excellent command of Legal English
  • Legally qualified with significant experience gained in-house and prior to in-house at a leading law firm
  • Commercial law, drafting and negotiating experience, with ability to provide innovative legal solutions in a fast moving industry
  • Deep knowledge & Practice of Amicable, Arbitration & Litigation Dispute Resolutions methods.
