We are seeking a dynamic and experienced Corporate Lawyer to join the Legal team, reporting to the Chief Legal Officer and support our strategic objectives. In this role, you will manage the corporate affairs of a diverse portfolio of affiliated companies across the globe with precision and professionalism.
Job Responsibility:
Managing corporate affairs for Luxembourg companies (drafting of board and shareholder minutes, ensuring legal compliance of the companies with Luxembourg regulations, etc...)
Partnering with local in-house lawyers to ensure corporate compliance of subsidiaries and participations
Partnering with finance and legal departments to manage all legal aspects of internal corporate restructuring, analyze and prepare legal documentation related to corporate transactions
Supporting the CLO in complex financing and M&A transactions, as the case may be
Designing, building and improving corporate processes and policies and ensuring their proper application throughout the Group
Organizing and maintaining a database of all corporate records of subsidiaries and participations
Manage KYC and UBO requests
Managing the Group trademarks and patents portfolio
Developing strong relationships with partners and lawyers in all sectors/departments and in many jurisdictions throughout the world
Requirements:
Hold a master in corporate business law
Minimum of 7 to 10 years of professional experience in a similar working environment or in a law firm
Throughout understanding of Luxembourg laws and regulations
Perfect command of English and French, both with excellent written communication and legal drafting skills
Ability to critically analyze complex transactions – understanding their legal, business, and financial rationale
Ability to conduct legal risk assessments, evaluate accounting and tax implications
Ability to provide meaningful support to directors by drafting well-reasoned and accurate governance documentation
Reliable and well organized, able to prioritize and efficiently handle multiple tasks in a challenging environment
Team-oriented, with strong interpersonal and communication skills
Capable of working pro-actively in very dynamic and demanding environment
Can work independently while maintaining a collaborative mindset
