We're seeking a sharp, proactive and a US bar holder General Counsel to strengthen our in-house legal function across three distinct workstreams: a Top 5 direct-to-consumer e-commerce brand, a family office deploying capital into hedge funds, and cross-border legal structuring across multiple international jurisdictions. You'll report directly to the CEO, manage outside counsel relationships across your domains, and own key legal surfaces across the business from FTC compliance and consumer protection to fund subscriptions, custody protocols, and cross-border asset structuring. This is not a support role. You'll own critical legal domains that require dedicated senior focus.
Job Responsibility:
Proactively audit all consumer-facing legal surfaces: checkout flows, terms of service, arbitration clauses, pricing compliance, FTC endorsement guidelines, and applicable state consumer protection statutes
Monitor the DTC regulatory landscape and flag changes that could create business exposure
Coordinate with outside counsel on potential litigation, consumer disputes, and regulatory inquiries
Review and manage commercial contracts including retail partnerships, vendor agreements, and affiliate terms
Support due diligence processes and corporate transactions as needed
Ensure ongoing legal compliance across all business operations
identify gaps before they become liabilities
Review and negotiate hedge fund subscription agreements, side letters, and LP terms before capital deployment
Manage custody documentation and bank relationships
ensure counterparty instructions, authorized signatories, and transfer protocols are current and enforced
Handle loan facility renewals, covenant compliance monitoring, and related documentation
Coordinate with investment team leadership on regulatory filings and fund-level legal issues
Conduct quarterly review of all fund documentation, redemption terms, gate provisions, and counterparty risk
Maintain and enforce investment security protocols: authorized account whitelists, multi-party verification, and transfer controls
Asset protection structuring across multiple international jurisdictions
Personal dispute management and litigation oversight
Contract review for personal transactions
Coordination with estate/succession planning advisors
Immigration, residency, and tax structuring coordination with relevant specialists
Deliver a Monthly Legal Exposure Audit: written memo covering all active matters, upcoming deadlines, identified risks, and proactive recommendations across all three workstreams
Conduct Quarterly Compliance Sweeps on all e-commerce legal surfaces against current federal and state regulations
Conduct Quarterly Fund Documentation Reviews across all subscriptions, custody arrangements, loan covenants, and counterparty protocols
90-Day Proactivity: Within the first 90 days, independently identify and flag at least five material legal risks or improvement areas that were not assigned
Requirements:
JD from an accredited law school
barred in at least one U.S. jurisdiction
5–10 years of legal experience, ideally a mix of law firm and in-house roles
Demonstrated ability to manage multiple outside counsel relationships simultaneously
Comfort operating as a sole legal resource with no legal team to lean on
AI fluency: actively uses AI tools (Claude, ChatGPT, or equivalent) for legal research, drafting, and risk identification — this will be tested during the interview process
Proven track record of proactively identifying legal risks that were not assigned
Comfort working across multiple international jurisdictions and coordinating cross-border legal work
Independent judgment — you act on what you see, not what you're told to look at
Nice to have:
Background in corporate/commercial law at a mid-market or BigLaw firm before transitioning in-house
Exposure to fund finance, LP agreements, or NAV-based lending
Familiarity with consumer protection law (FTC, state-level statutes) or DTC e-commerce regulatory environment
Experience supporting corporate transactions or due diligence processes
High-net-worth or family office client experience
