Job Description:

Our client, a global law firm, is seeking a Fund Formation Paralegal to provide comprehensive support to attorneys and senior paralegals in a fast-paced legal environment. This role involves assisting with a variety of tasks related to emerging companies and venture fund operations, ensuring compliance with regulations, and performing administrative duties as required. The ideal candidate will excel in managing detailed legal documentation while demonstrating strong organizational and research skills.

Job Responsibility:

  • Support all aspects of emerging company and venture fund legal work
  • Prepare and maintain organizational and governance documents
  • Draft partnership and limited liability company (LLC) agreements
  • Prepare side letters, transfer agreements, admission agreements, and related amendments
  • Conduct investor suitability assessments and due diligence reviews
  • Research federal and state securities laws in connection with fund formations
  • Prepare and file required regulatory notices and filings
  • Assist with due diligence reviews and the preparation of legal opinions and supporting documentation
  • Manage SEC compliance reporting for venture fund clients with public company stock portfolios
  • Maintain accurate and timely timekeeping and administrative records
  • Perform additional duties as assigned

Requirements:

  • Minimum of 1 year experience as a Fund Formation Paralegal
  • Ideally Big Law experience, strong education
  • Available to work overtime, as required
  • Bachelor’s Degree required
  • Bill a minimum of 1600 hours annually
  • Ability to work independently and as part of a team in a fast paced environment for multiple supervisors, meet deadlines and maintain flexibility with work assignments (including changes in attorney/paralegal assignments)
  • Ability to organize and prioritize work assignments as well as delegate tasks to service departments when necessary
  • Possess excellent written, communication and proofreading skills with attention to detail
  • Ability to work well with others, including clients
  • Ability to work well under pressure
  • Must demonstrate initiative, diplomacy and tact
  • Reliable, committed and punctual
