Join our innovative talent community and help drive impactful legal solutions to complex problems in various industries. We are seeking an Equity Derivatives Negotiation Counsel to join our FS team. This role is ideal for attorneys with hands-on experience negotiating and advising on ISDA Master Agreements and related trading documentation. Candidates should have a practical understanding of collateral arrangements, netting provisions, and regulatory compliance in a fast-paced derivatives environment. Preference is given to those located in New York City for occasional onsite client work.

Job Responsibility:

  • Negotiate and advise on ISDA Master Agreements (including CSAs), MSFTAs, MRAs (repo transactions), and securities lending agreements (GMSLAs, if applicable)
  • Support prime brokerage agreements and related documentation for financial institutions, hedge funds, and asset managers
  • Advise internal teams on collateral arrangements, netting, and regulatory compliance in relation to equity derivatives
  • Assist with counterparty onboarding, documentation workflows, and playbook maintenance, ensuring market standards and regulatory alignment
  • Track negotiation status, manage escalations, and support high-volume documentation efforts
  • Stay up to date on regulatory developments impacting equity derivatives documentation

Requirements:

  • JD or equivalent with active bar admission
  • Experience negotiating ISDA Master Agreements and related derivatives documentation
  • Understanding of collateral mechanics, netting provisions, and margin requirements
  • Strong attention to detail and ability to manage multiple agreements concurrently
  • Excellent communication, negotiation, and organizational skills
  • Located in NYC or open to occasional on-site client work

Nice to have:

  • Hands-on experience with equity derivatives, prime brokerage agreements, MSFTAs, MRAs, and GMSLAs
  • Background supporting hedge funds, asset managers, or investment banks
  • Practical knowledge of regulatory frameworks and market practices
  • Familiarity with high-volume negotiation environments and maintaining documentation playbooks
