Job Responsibility

  • Provide legal and regulatory support on IPOs and equity capital markets transactions led by the bank
  • Advise internal deal teams on structuring, documentation, and compliance with securities laws and stock exchange requirements
  • Draft, review, and negotiate prospectuses, underwriting agreements, and transaction-related documentation
  • Collaborate with internal teams, clients, and external parties to ensure smooth execution of transactions and compliance with legal and regulatory requirements

Requirements

  • 5+ years of experience in equity capital markets, securities law, or related corporate finance practices
  • Strong knowledge of SEC regulations, bond offerings, covenant structures, and credit rating considerations
  • Minimum of 3 years PQE as a Equity Capital Markets (IPO), preferably with a reputable law firm or financial institution
  • In-depth knowledge of IPO processes, equity offerings, and capital markets transactions
  • Familiarity with Canadian listing rules and relevant laws and regulations
  • Excellent communication and interpersonal skills to effectively collaborate with clients and internal teams
