We’re looking for a full-time Capital Markets Attorney with strong Equity Capital Markets (ECM) experience to join our clients' legal team on-site in New York City. This role is ideal for someone who understands the fast-paced nature of equity offerings and brings a strong transactional background to support the execution of public and private equity deals.

Job Responsibility:

  • Provide legal support across a range of equity capital markets transactions, including IPOs, follow-ons, PIPEs, and block trades
  • Partner closely with bankers, issuers, and internal teams to manage deal flow and execution
  • Review, draft, and negotiate offering documents, underwriting agreements, and disclosure materials
  • Advise on regulatory and compliance matters, including SEC, FINRA, and stock exchange rules
  • Work cross-functionally with internal legal, compliance, and business teams to navigate deal-specific issues and maintain execution excellence

Requirements:

  • JD with strong academic credentials and active bar membership in good standing
  • Extensive experience working on equity offerings and public company transactions, ideally from a top-tier law firm or in-house at a financial institution
  • Deep understanding of U.S. securities laws and regulations governing capital markets transactions
  • Proven ability to manage multiple deals and stakeholders in high-pressure environments
  • Strong drafting, analytical, and problem-solving skills

Nice to have:

  • Prior in-house legal experience in investment banking or capital markets
  • Familiarity with cross-border equity offerings or emerging growth companies is a plus
  • Ability to work independently while collaborating effectively across teams
