Robert Half is seeking an accomplished Corporate Transactional Tax Attorney to support high‑level corporate, partnership, and M& A matters on a part-time, remote basis. This role is ideal for an attorney with deep experience advising on the tax implications of complex transactions—including mergers and acquisitions, leveraged buyouts, restructurings, financings, and private equity deals. The ideal candidate will demonstrate strong command of U.S. federal income tax, corporate tax planning, and partnership taxation, including capital accounts and allocation methodologies.
Job Responsibility:
Provide tax structuring and analysis for asset purchase agreements, equity purchase agreements, mergers and acquisitions, joint ventures, reorganizations, and similar transactions
Advise on tax considerations related to corporate and LLC formation, capitalization, and governance
Support deal teams on tax‑driven structural decisions, including entity selection, rollover equity, earnouts, and post‑closing tax issues
Draft and review tax provisions and related sections within corporate transactional documents
Provide broad tax support on issues commonly arising in corporate transactional practices
Collaborate with partners on outside general counsel matters involving tax‑sensitive business issues
Conduct tax research and prepare client‑facing memoranda outlining risks, analysis, and recommendations
Requirements:
J.D. from an accredited law school with active New York bar admission
Significant experience advising on tax aspects of complex corporate transactions, including taxable and tax‑free M& A, leveraged buyouts and private equity transactions, corporate restructurings, reorganizations, and financings
Advanced knowledge of U.S. federal income tax, including corporate tax planning and partnership taxation (capital accounts, allocations, Subchapter K)
Excellent drafting skills with the ability to interpret and negotiate complex tax, corporate, and transactional documentation
Ability to operate independently, manage competing priorities, and deliver high‑quality work within a part‑time schedule
Nice to have:
Experience with capital markets and corporate structures—such as SPACs, IPOs, REITs, Up‑Cs, MLPs, and securitizations—is a strong plus
