Job Description

A growing, entrepreneurial law firm is seeking a contract Part-Time Attorney (7+ years’ experience) to support its expanding practice advising technology companies on corporate and securities matters. This is an excellent opportunity to work closely with innovative, fast-growing clients in a highly flexible, business-focused environment.

Job Responsibility

  • Advise clients on entity formation, structure, and governance (corporations, LLCs, and related entities)
  • Draft and maintain corporate documents, including bylaws, minutes, consents, and founder agreements
  • Counsel clients on fundraising strategies and investment structures
  • Draft investment-related documents such as convertible notes and subscription agreements
  • Conduct due diligence reviews of corporate structures, contracts, and related materials
  • Assist with state and federal filings and ongoing regulatory compliance
  • Partner with clients on legal strategy and business-oriented decision-making
  • Build and maintain strong client relationships while delivering exceptional service

Requirements

  • 7+ years of corporate and securities experience
  • Background working with technology or high-growth companies
  • Experience advising on fundraising and drafting investment documents
  • Familiarity with state and federal filings and compliance
  • Strong organizational, communication, and multitasking skills
  • Entrepreneurial mindset with the ability to work independently
