Job Description

As Corporate Secretary, you will play a pivotal role in Airwallex’s governance structure, supporting our board and senior management, and ensuring robust compliance and best-in-class corporate governance across our global group. You will lead the full spectrum of company secretarial matters for licensed entities across multiple regions and jurisdictions globally.

Job Responsibility

  • Handle the full spectrum of company secretarial matters for licensed entities across different regions
  • Organizing and facilitating board, committee and general meetings, including preparing agenda, resolutions, minutes and presentation materials
  • Maintaining and handling statutory filings and statutory registers
  • Handling group entities’ corporate matters, including incorporation, restructuring, capital injection, winding down and audit support
  • Ensuring timely and accurate regulatory filings
  • Lead the company secretarial function across jurisdictions and coordinate and manage external service providers
  • Support entity-level audits and due diligence processes for financing, M&A, and regulatory reviews
  • Act as a key liaison with directors, investors, regulators and cross-functional teams
  • Support the implementation of best practices in data protection, cybersecurity, and technology risk management

Requirements

  • At least 5-10 years of relevant experience
  • Proven track record in supporting boards and senior management in a global or regional corporate structure
  • Prior experience managing multi-jurisdictional entities and complex group structures
  • Experience establishing and maintaining board and committee processes, corporate records and entity management systems
  • Excellent communication and interpersonal skills
  • able to interact effectively with Board members, investors, regulators and cross-functional teams
  • Strong attention to detail, especially for board papers, resolutions and disclosures
  • High integrity, discretion and sound judgment
  • Comfortable working in a fast-paced, high-growth global environment
  • Proactive, hands-on and solutions-oriented
