Job Description

Robert Half Legal is partnering with a large, national law firm that's seeking a Corporate Paralegal with 3-7+ years of experience to join their team. This Corporate Paralegal will support attorneys in handling mergers & acquisitions, corporate governance, and general corporate legal matters.

Job Responsibility

  • Support all stages of M&A transactions, including LOI, due diligence, signing, closing, and post‑closing integration
  • Manage virtual data rooms and oversee document collection, organization, and review
  • Prepare and coordinate officer/secretary certificates, consents, closing checklists, schedules, and exhibits
  • Handle signature packets, signature page collection, and execution logistics
  • Prepare and submit UCC filings
  • Form and dissolve corporations, LLCs, and other business entities across multiple jurisdictions
  • Maintain corporate governance documents, including bylaws, operating agreements, minutes, resolutions, and stock ledgers
  • Assist with responses to Corporate Audit Letter Requests
  • Handle KYC/AML documentation, certificates of good standing, and other corporate formalities
  • Provide administrative, organizational, and project management support to attorneys and internal teams

Requirements

  • Bachelor Degree needed
  • paralegal certificate preferred
  • 3-7+ years of corporate paralegal experience
  • Strong knowledge of corporate governance, entity management, and transactional processes
  • Proficiency in Microsoft Office applications
