We are looking for an experienced Corporate Paralegal to join our team in Irvine, California. This is a Contract to permanent position within the semi-conductors and electric components manufacturing industry. The ideal candidate will play a critical role in supporting the legal department by managing corporate governance, legal filings, and compliance initiatives while collaborating with various internal and external stakeholders.
Job Responsibility:
Manage the global subsidiary portfolio, including maintaining legal entity databases, filing corporate documents, forming and dissolving entities, and handling foreign qualifications
Oversee the preparation, review, and maintenance of board minutes, resolutions, written consents, and other organizational documents
Draft and file Section 16 filings such as Forms 3, 4, and 5, and assist with proxy statements and periodic filings including Forms 10-K, 10-Q, and 8-K
Support activities related to executive and director compensation, stock plan administration, and interactions with internal and external auditors
Maintain accurate and up-to-date corporate minute books and other legal records
Prepare and distribute questionnaires for directors and officers, ensuring timely collection and review of responses
Collaborate with in-house attorneys, outside counsel, and internal departments like Accounting, Tax, Treasury, HR, and Corporate Communications to ensure seamless legal operations
Coordinate with outside counsel and regulatory agencies for entity filings and ongoing legal maintenance
Assist with mergers, acquisitions, and other legal transactional matters as needed
Provide support for litigation-related tasks, including discovery, trial preparation, and case management
Requirements:
A minimum of 5 years of experience as a corporate paralegal, preferably in a corporate or in-house setting
Proficiency in managing legal entity databases and corporate governance documentation
Hands-on experience with Section 16 filings, proxy statements, and SEC reporting requirements
Strong understanding of executive compensation, stock plan administration, and corporate compliance
Familiarity with discovery processes, civil litigation, trial preparation, and case management software
Excellent organizational skills with the ability to manage multiple priorities and meet deadlines
Strong communication skills and the ability to collaborate effectively with diverse teams and external stakeholders
Paralegal certification or equivalent qualification is highly desirable
