A boutique law firm in the Buckhead area is seeking a detail‑oriented and experienced Corporate Paralegal to support its growing transactional practice. This is a full‑time, onsite role within a collaborative, professional office environment. The Corporate Paralegal will work closely with attorneys on a wide range of corporate and transactional matters. This position is responsible for supporting deals from early planning stages through closing, as well as assisting with ongoing governance and compliance for various business entities.
Job Responsibility:
Assist attorneys on a variety of corporate transactions, including acquisitions, financings, restructurings, and joint ventures
Draft, organize, and maintain key transactional materials such as closing sets, signature packets, and supporting documentation
Manage due‑diligence workflows, including preparing data rooms, reviewing documents, and coordinating items with transaction parties
Support the formation, modification, and dissolution of business entities
Prepare and submit required filings with state agencies and regulatory bodies
Maintain corporate records, governance documents, minute books, and entity databases
Prepare board and shareholder deliverables, including consents, minutes, and resolutions
Handle notarization, signature coordination, and final execution of transactional documents
Keep digital and physical files organized throughout each matter lifecycle
Track billable time and assist with administrative components of assigned matters
Requirements:
Paralegal certificate from an accredited paralegal studies program
At least three (3) years of corporate or transactional paralegal experience
Strong understanding of business entities, corporate governance practices, and general transactional processes
Excellent organizational skills, attention to detail, and the ability to manage multiple deadlines
Strong written and verbal communication skills
Nice to have:
Background supporting M&A, private equity, or commercial financing transactions
Experience using virtual data rooms and due‑diligence management systems
Familiarity with multi‑state filings and multi‑entity corporate structures
Experience coordinating with registered agents and third‑party compliance service providers
