We are looking for a Corporate Paralegal to support a legal team based in Scottsdale, AZ on a contract basis with the potential to convert full-time. This role is ideal for someone with strong attention to detail who is comfortable handling corporate governance matters, contract documentation, and transaction support in a fast-moving business environment. The position offers broad exposure to cross-functional legal work, including assistance with multi-entity operations and strategic corporate transactions.
Job Responsibility:
Coordinate legal support for corporate entities by preparing and maintaining governance records, resolutions, consents, and related organizational materials
Assist attorneys with transactional activities such as mergers and acquisitions, joint ventures, and investment-related documentation
Draft, review, and organize agreements including NDAs, restrictive covenant agreements, and other standard contract forms using approved templates
Manage legal documents through contract management and case management systems while tracking signatures, approvals, and follow-up obligations
Compile and maintain closing files, execution packets, and post-closing records to ensure complete and accurate documentation
Partner with internal teams to answer questions related to contract routing, delegation of authority, and authorized signatories
Provide administrative and project support to legal leadership while helping keep priorities on track in a deadline-driven setting
Requirements:
Prior experience in a corporate paralegal role with a strong foundation in corporate governance and entity management
Proficiency with contract management or case management software
experience with Thomson Reuters HighQ is strongly preferred
Hands-on exposure to mergers and acquisitions and other transactional legal support activities
Ability to work across multiple entities and maintain highly organized legal records with close attention to detail
Strong written and verbal communication skills, including the ability to explain legal information clearly to business partners
Self-directed, adaptable, and comfortable working in a fast-paced environment with shifting priorities
