Our client in San Ramon is seeking a Corporate Paralegal for an ongoing contract role supporting a busy corporate practice. This hybrid position offers a mix of structured collaboration and remote flexibility, making it a great fit for someone who enjoys corporate governance and entity management.
Job Responsibility:
Assist with entity formation, including drafting and filing formation documents, obtaining EINs, and coordinating with state agencies
Manage entity maintenance and compliance requirements, including ongoing filings, amendments, registrations, and dissolutions
Prepare a variety of corporate governance documents, such as board and shareholder minutes, resolutions, written consents, officer certificates, and organizational charts
Track and manage annual reports, foreign qualifications, state registrations, and compliance calendars to ensure timely filings across multiple jurisdictions
Maintain comprehensive corporate records, including minute books, stock ledgers, cap tables, and organizational documents
Support preparation, revision, and tracking of corporate contracts, including NDAs, vendor agreements, and routine business agreements
Coordinate with attorneys, internal stakeholders, clients, registered agents, and outside vendors to support corporate transactions and governance needs
Assist with due diligence and document organization for corporate transactions or ongoing compliance projects
Ensure accuracy and consistency across all document versions and corporate databases
Requirements:
3+ years of corporate paralegal experience in a law firm or in‑house setting
Strong understanding of entity management, corporate governance processes, and state filing requirements
Experience using corporate databases or entity management platforms (e.g., CSC, Diligent, GEMS, or similar tools)
Highly organized with the ability to manage multiple deadlines and maintain accurate corporate records
Excellent written communication, attention to detail, and ability to work both independently and collaboratively
Paralegal certificate preferred, but not required
