Growing law firm in Palo Alto is seeking an experienced Corporate Paralegal to join their thriving corporate practice group. This Corporate Paralegal will partner closely with attorneys and clients ranging from emerging startups to established public companies, ensuring smooth execution of complex transactions and day-to-day corporate governance. The ideal candidate is a proactive, solutions-oriented professional with proven experience utilizing Carta for cap table management and equity transactions. You will be responsible for driving operational excellence and ensuring compliance across a full spectrum of corporate legal matters, including financings, M&A, company formations, and ongoing corporate maintenance.
Job Responsibility:
Administer and maintain clients’ capitalization tables using Carta
facilitate equity transactions including issuance, transfers, cancellations, and conversions
Prepare and file corporate documents with the Secretary of State, including incorporations, amendments, mergers, and dissolutions
Draft board and stockholder consents, action by written consent, and legal resolutions
Support all aspects of private financings, including due diligence, signature packet preparation/distribution, and closing binders
Manage corporate records, minute books, and stock ledgers
Assist attorneys with all aspects of mergers and acquisitions, including diligence and post-closing activities
Coordinate with clients, government agencies, and third-party service providers to ensure compliance and timely filing
Conduct research of statutes, regulations, and precedents as required
Maintain up-to-date knowledge of relevant corporate law and compliance requirements
Perform other duties as assigned by attorneys or senior staff
Requirements:
Minimum 3+ years of experience as a corporate paralegal in a law firm setting
Proficiency with Carta for cap table and equity administration is required
Bachelor’s degree
paralegal certificate from an ABA-approved program preferred
In-depth knowledge of corporate governance
Strong attention to detail, exceptional organizational and communication skills
Ability to handle multiple projects in a fast-paced environment
Must be able to work on-site in Palo Alto, CA
