We are looking for an experienced Corporate Paralegal to join our in-house legal team in Southport, Connecticut. This role will support the legal operations of a publicly traded company by managing corporate governance, compliance, contracts, and data privacy matters. The ideal candidate is highly organized, detail-oriented, and adept at handling complex legal tasks in a fast-paced corporate environment.
Job Responsibility:
Prepare and submit regulatory filings with the Securities and Exchange Commission (SEC), including Form 8-Ks, 10-Qs, 10-Ks, and proxy statements
Ensure compliance with regulations for publicly traded companies, such as Sarbanes-Oxley and Regulation FD, while maintaining corporate records
Draft, review, and revise legal agreements, including Corporate Data Agreements (CDAs), and escalate complex issues to in-house counsel
Manage contracts within the company’s contract management system, ensuring deadlines and deliverables are tracked and met
Support efforts to comply with data privacy laws by implementing policies, conducting research, and advising teams on regulatory changes
Assist in organizing Board of Directors and shareholder meetings by preparing agendas, drafting resolutions, and maintaining accurate minutes
Coordinate updates to corporate records, such as stockholder information and subsidiary filings, ensuring compliance with governance policies
Act as a liaison between the legal team and other departments to streamline workflows and facilitate cross-functional collaboration
Provide administrative support to the legal team on special projects, maintaining organized and accessible legal files
Monitor corporate governance practices to align with industry standards and best practices for public companies
Requirements:
Minimum of 5 years of experience as a corporate paralegal, preferably with a publicly traded company or law firm specializing in corporate law
Proficiency in preparing SEC filings and managing state compliance requirements
Demonstrated expertise in drafting and managing contracts, including CDAs and other legal agreements
Strong understanding of corporate governance practices, including board meeting preparation and records management
Familiarity with data privacy regulations and experience supporting compliance initiatives
Excellent organizational skills and the ability to manage multiple projects simultaneously in a fast-paced environment
Effective communication skills to interact successfully with executives, board members, and cross-functional teams
Paralegal certification or equivalent education is preferred but not mandatory
