Job Description

The Corporate Paralegal provides high-level support to attorneys on corporate governance, financings, and transactional matters. This role requires strong attention to detail, discretion, and the ability to manage multiple projects while supporting complex corporate transactions from start to finish.

Job Responsibility

  • Support attorneys with IPOs, financings, and corporate transactions, including pre‑closing and post‑closing tasks
  • Maintain corporate governance records such as minute books, closing binders, and capitalization tables
  • Assist with stock administration matters including equity plans, stock options, stock splits, and cap table management
  • Draft, prepare, and file corporate and securities-related documents and notices
  • Manage and update capitalization and corporate records using platforms such as Carta or similar
  • Organize transaction documents and ensure accuracy, consistency, and compliance
  • Collaborate with internal and external teams to meet deadlines and support deal execution

Requirements

  • Bachelor’s degree or equivalent experience
  • Minimum 3 years of experience in corporate legal or transactional support
  • Experience supporting IPOs or complex financings
  • Familiarity with cap table software such as Carta, Shareworks, or similar
  • Strong Excel and document management skills
  • Excellent organizational, communication, and time management abilities
  • High level of integrity and ability to handle confidential information
