Job Description

Robert Half is partnering with the legal department of a real estate company, seeking a corporate paralegal with 5+ years of real estate experience.

Job Responsibility

  • Reviewing title, easements, and other property-related documents
  • Managing real estate disputes and vendor disputes
  • Working on contracts: drafting ancillary contracts, reviewing/redlining commercial, vendor, or service agreements

Requirements

  • 5+ years of real estate transactions experience
  • Must have experience reviewing title insurance and title issues (not much survey review), and know how to work with title and escrow companies, and how to resolve issues
  • Knowledge of redlining vendor/service contracts
  • Ideally, also how to identify limitations of liability and indemnity clauses
  • A background in litigation and/or law firms is strongly preferred
  • Ability to commute near the John Wayne Airport Tuesday-Thursday

Nice to have

  • No litigation background required, but it’s certainly helpful
  • Knowing how to track litigation deadlines and know proceedings is helpful
  • Someone who has been promoted numerous times

  • Examine transaction records for accuracy and completeness, such as deeds, lease memoranda, easements, notes, security instruments, assignments, intercreditor arrangements, and related certificates
  • Organize closings from start to finish by assembling signature packages, maintaining data rooms, tracking executed paperwork, and compiling final closing sets
  • Draft closing instructions and assist with loan closings involving real property and other pledged collateral
  • Review settlement statements and help facilitate the filing, recording, and post-closing distribution of required documents
  • Analyze title commitments, surveys, easements, restrictive covenants, endorsements, and title policies, and prepare summaries identifying key issues and required follow-up
  • Request, collect, and evaluate diligence items, including organizational records, registration materials, and other entity-related documentation
  • Maintain transaction calendars and critical date trackers to ensure timely completion of milestones, deliverables, and filing requirements
  • Prepare and review corporate governance and entity documents, including formation papers, partnership or operating agreements, bylaws, resolutions, stock-related records, and dissolution materials
  • Provide quality control across active matters and offer coverage support for the broader legal team when priorities shift or additional assistance is needed
