Job Description

We are looking for a detail-oriented Corporate Paralegal with real estate experience to support complex financing and transactional matters in San Francisco, California. This role will focus on preparing and reviewing legal documentation, coordinating closing activities, and organizing due diligence materials across multiple deals. The ideal candidate brings strong judgment, exceptional follow-through, and the ability to manage deadlines in a fast-paced legal environment.

Job Responsibility

  • Prepare financing and supporting legal documents for commercial real estate matters, including materials related to transfers, assumptions, lien releases, approvals, and closing deliverables
  • Examine transaction records for accuracy and completeness, such as deeds, lease memoranda, easements, notes, security instruments, assignments, intercreditor arrangements, and related certificates
  • Organize closings from start to finish by assembling signature packages, maintaining data rooms, tracking executed paperwork, and compiling final closing sets
  • Draft closing instructions and assist with loan closings involving real property and other pledged collateral
  • Review settlement statements and help facilitate the filing, recording, and post-closing distribution of required documents
  • Analyze title commitments, surveys, easements, restrictive covenants, endorsements, and title policies, and prepare summaries identifying key issues and required follow-up
  • Request, collect, and evaluate diligence items, including organizational records, registration materials, and other entity-related documentation
  • Maintain transaction calendars and critical date trackers to ensure timely completion of milestones, deliverables, and filing requirements
  • Prepare and review corporate governance and entity documents, including formation papers, partnership or operating agreements, bylaws, resolutions, stock-related records, and dissolution materials
  • Provide quality control across active matters and offer coverage support for the broader legal team when priorities shift or additional assistance is needed

Requirements

  • Demonstrated experience as a paralegal supporting commercial real estate finance or corporate real estate transactions
  • Strong working knowledge of closing documentation, title and survey review, and post-closing processes
  • Ability to draft and revise corporate and entity formation documents with a high level of accuracy
  • Experience managing due diligence materials, signature coordination, and transaction tracking across multiple matters
  • Familiarity with secured lending structures and documentation involving real estate collateral
  • Proficiency in maintaining organized records, monitoring deadlines, and handling detail-heavy legal workflows
  • Effective written and verbal communication skills, with the ability to coordinate with attorneys, clients, and third-party providers

Nice to have

Exposure to pooling and servicing agreements, grantor trust agreements, or securitized loan documentation is preferred
