We are looking for a bilingual in English and Spanish Corporate Paralegal/Legal Assistant to support a broad range of corporate legal, administrative, and personnel-related activities in Miami, Florida. This contract position with permanent potential is ideal for someone who is highly organized, detail-oriented, and comfortable managing legal documentation, compliance records, and cross-functional coordination. The role will contribute to corporate governance matters, contract preparation, licensing administration, and day-to-day operational support across affiliated entities.
Job Responsibility
Manage corporate entity matters by coordinating formations, dissolutions, governance records, and amendments to organizational documents
Prepare and organize meeting minutes, written consents, powers of attorney, and other documentation required to support corporate decision-making
Maintain ownership records, share registers, annual filings, meeting schedules, and legal entity compliance information for affiliated companies
Draft, revise, and translate legal agreements, correspondence, and related documents while ensuring accuracy and proper recordkeeping
Respond to third-party requests for compliance and due diligence materials, including Know Your Client documentation for companies and individuals
Coordinate with legal counsel and external contacts across multiple jurisdictions to support ongoing corporate and regulatory matters
Oversee business licenses, permits, insurance policies, lease-related support, office scheduling, and event coordination for administrative operations
Support personnel administration by maintaining employee files, assisting with onboarding and separations, tracking attendance and leave, and helping manage contractor agreements and employee benefits
Assist with personal administrative and financial support tasks, including expense coordination, insurance tracking, travel record maintenance, and payment oversight for designated obligations
Requirements
3+ years of experience in a paralegal or legal assistant role with exposure to corporate legal work
Background in corporate governance, legal documentation, and business entity record maintenance
Experience preparing contracts, correspondence, meeting records, and other formal legal documents
Familiarity with corporate transactions, lease-related matters, licensing, and compliance administration
Ability to manage calendars, maintain organized records, and handle multiple priorities with strong attention to detail
