Job Responsibility:
Assist with a range of corporate matters including acquisitions, disposals, restructurings, and corporate governance
Draft, review, and negotiate transaction documents including NDAs, term sheets, SPAs, shareholder agreements, and ancillary documents
Carry out legal due diligence across corporate, commercial, IP, regulatory, and operational areas, providing clear findings to senior lawyers
Work closely with internal stakeholders across finance, strategy, operations, and commercial teams to support transactional activity
Monitor relevant corporate, regulatory, and M&A developments and provide practical advice to the business
Identify, assess, and communicate legal and commercial risks associated with transactions and strategic initiatives
Assist with internal M&A and investment projects, contributing to timelines, documentation, and overall deal execution
Requirements:
Qualified Solicitor (NQ to 3 years PQE)
Experience in corporate or M&A work gained in private practice or in house
Strong grounding in company law, transactions, and corporate governance
Ability to analyse and communicate legal risks clearly and commercially
Confident working in a fast paced environment supporting high profile projects
