The Corporate Legal Assistant will provide high-level administrative and substantive support to attorneys handling corporate transactions, entity formation and governance, mergers and acquisitions, and general business matters.
Job Responsibility:
Prepare, revise, and format corporate legal documents, including formation documents, operating agreements, bylaws, shareholder agreements, board consents, and transactional documents
Assist with entity formation and qualification filings with the Missouri Secretary of State and other state agencies
Maintain corporate records, minute books, and compliance calendars
File UCC financing statements and related documentation
Assist with due diligence and closing binders for mergers, acquisitions, and financing transactions
Draft correspondence and communicate with clients, government agencies, and third parties
Manage attorney calendars, schedule meetings, and coordinate conference calls
Enter attorney time, process billing, and assist with expense reporting
Maintain and organize electronic and physical files in accordance with firm procedures
Conduct basic legal and corporate research as needed
Requirements:
Minimum of 3 years of experience as a legal assistant in a corporate or business law practice
Strong knowledge of corporate governance documents and business entity structures
Experience with state and federal filing systems
Proficiency in Microsoft Office Suite (Word, Excel, Outlook)
Exceptional attention to detail and proofreading skills
Strong written and verbal communication skills
Ability to handle confidential information with discretion
Ability to work independently and collaboratively in a team environment
Nice to have:
Experience with legal document management and billing software preferred
Experience supporting multiple attorneys
Familiarity with transactional closings and post-closing processes
Paralegal certificate or equivalent experience preferred
