Job Description:

As Corporate Legal Assistant, you will support DEPT®’s Legal Team with a variety of legal and administrative tasks relating to corporate law matters. You will assist with maintaining the corporate database, support with corporate resolutions, handling KYC requests, and providing support in M&A transactions and group restructurings. Collaborating with colleagues across the Legal Team, the wider business and external advisors, you will help ensure smooth and efficient corporate legal operations and processes.

Job Responsibility:

  • Maintain and update corporate registers and entity management systems, ensuring accuracy and completeness of all corporate records and filings
  • Assist with the preparation, coordination and execution of board and shareholder resolutions, minutes, and other corporate governance documentation
  • Handle and coordinate KYC requests and related compliance documentation with internal and external stakeholders and advisors
  • Provide administrative and coordination support for M&A transactions and group restructuring projects, including document management, due diligence coordination and closing administration
  • Provide general legal and administrative support to the Legal Team on corporate law matters
  • Support the Legal Team with tracking various filing deadlines and other statutory obligations
  • Assist with the maintenance of corporate governance documentation, policies, and procedures

Requirements:

  • Relevant professional experience in a law firm, notary office, or in-house legal department, with exposure to corporate law matters
  • Familiarity with corporate law concepts, including company formations, corporate governance, and restructuring processes
  • Experience with KYC processes and corporate administration
  • Strong organizational skills and attention to detail
  • Proficiency in managing corporate databases (preferably Legisway)
  • Pragmatic, service-oriented mindset with the ability to manage multiple tasks and priorities
  • Comfortable working independently on assigned tasks, while remaining closely aligned with the Legal Team and under the supervision of Head of Legal Corporate & Commercial (EMEA & APAC)
  • Fluent in Dutch and English, both written and spoken
  • Confident communicator who can liaise with internal and external stakeholders and advisors
  • A proactive team player who thrives in a fast-paced, international environment and embraces a dynamic, evolving business landscape
