Axiom is seeking skilled corporate lawyers with experience in mergers and acquisitions, real estate transactions, and corporate governance to support our clients on full-time interim engagements.
Job Responsibility:
Provide legal support on M&A transactions, including due diligence, structuring, and drafting/negotiating key transaction documents
Draft, review, and negotiate real estate documentation, including leases, sale and purchase agreements, and related property contracts
Prepare, review, and negotiate a broad range of commercial agreements (e.g. services, supply, vendor, and confidentiality agreements)
Provide timely, pragmatic legal advice to internal stakeholders on corporate, commercial, and regulatory matters, managing legal risk appropriately
Liaise with and manage external counsel and other advisors as required to support transactions and projects
Requirements:
5+ years’ post-qualification experience advising on complex M&A transactions, including legal due diligence, deal structuring, and drafting/negotiating SPAs, shareholder agreements, and ancillary documentation for corporate and institutional clients
Strong background in real estate transactions, with a track record of drafting, reviewing, and negotiating commercial leases, sale and purchase agreements, and related property contracts across a range of asset classes
Broad commercial contracts expertise, including preparing, reviewing, and negotiating services, supply, vendor, and confidentiality agreements, and providing pragmatic, business-focused advice on associated corporate and regulatory issues
Proven ability to partner with internal stakeholders and manage external counsel on cross-functional projects and transactions, balancing legal risk with commercial objectives within fast-paced in-house and/or private practice environments
