We are looking for forward-thinking professionals who can operate with a high degree of autonomy, seamlessly managing complex corporate lifecycles, cross-border M&A transactions, and intricate reorganizations.
Job Responsibility
Lead and orchestrate the corporate clerk workflow for high-value mergers, acquisitions, and asset/share purchase transactions
Autonomously draft and review complex tax-driven corporate reorganizations, amalgamations, continuances, arrangements, and dissolutions
Manage and maintain minute books and corporate registries for large portfolios of domestic, extra-provincial, and international entities
Conduct, review, and analyze sophisticated corporate searches and spearhead the remediation of complex corporate deficiencies
Serve as the primary, authoritative point of contact for clients, accountants, and senior partners to facilitate seamless transactional closings
Managing complex commercial files from inception through to trial and enforcement
Drafting pleadings, motion records, and factums in strict accordance with the Rules of Civil Procedure and CaseLines
Serving as the professional bridge between counsel, clients, and court staff to manage deadlines and undertakings
Orchestrating trial binders, managing electronic evidence during hearings, and coordinating with expert witnesses
Requirements
5-10 years of dedicated corporate law clerk experience
High proficiency with modern entity management software (e.g., EnAct, Athennian, or Corplink)
Digital signature workflows (DocuSign)
Openness to utilizing AI-driven contract/document automation tools
Graduate of an accredited Law Clerk program
Member in good standing with the Institute of Law Clerks of Ontario (ILCO)
Exceptional organizational agility with the ability to manage competing, strict transactional deadlines independently
