Job Description:

We are currently seeking Corporate Governance & Securities Lawyers to work with our publicly-traded client base on-site in New York City for both full-time and part-time needs.

Job Responsibility:

  • Advise on external governance trends, SEC issues, and related general legal issues
  • Review corporate governance documents, policies, and guidelines and recommend updates where necessary
  • Drafting, reviewing, and ensuring the timely satisfaction of SEC compliance and reporting obligations, including proxy statements and reports on Forms 10-K, 10-Q, S-1, S-4, and 8-K
  • Planning and preparing for annual shareholder meetings, drafting and reviewing Board/Committee minutes and resolutions

Requirements:

  • Minimum 6 years of public company securities and general corporate work in-house or at a law firm
  • Experience with bylaws, board minutes, SEC disclosures, and proxy statements - strong shareholder and board management/disclosure experience preferred
  • Current active bar license and in good standing with the state of issuance

Nice to have:

Experience with governance-centric needs like risk management, strategic planning, and compliance and ethics is a plus
