Job Description:

Our client is seeking a Corporate Finance Associate to join their growing team in Minneapolis. The ideal candidate will bring a deep understanding of finance transactions and display a strong ability to manage lender and borrower representations. This role offers an opportunity to work on high-profile financing deals, including syndicated credit facilities and acquisition financings.

Job Responsibility:

  • Handle lender and borrower representations in complex financial transactions
  • Draft, review, and revise legal documents such as credit agreements, commitment letters, and security agreements
  • Manage closing deliverables, including secretary’s certificates, resolutions, legal opinions, schedules, and exhibits
  • Collaborate with private equity sponsors and portfolio companies during financing processes
  • Provide strategic guidance on broadly syndicated credit facilities and private credit arrangements
  • Ensure high-quality deal management through proactive client interactions and superior work product
  • Assist in the preparation and negotiation of acquisition financing agreements
  • Work closely with clients to address legal, financial, and operational concerns
  • Maintain a team-oriented approach while meeting deadlines in a fast-paced environment
  • Leverage your expertise to support legal teams in complex corporate finance matters

Requirements:

  • Must have 3-6 years of experience in finance or corporate law
  • Proven ability to draft, review, and revise complex legal documents
  • Strong background in handling syndicated credit facilities and acquisition financings
  • Admission to at least one state bar is required
  • Superior drafting skills and attention to detail are essential
  • Demonstrated ability to handle significant responsibility in deal management and client interactions
  • Strong academic credentials and a proactive, team-focused attitude

Nice to have:

Experience representing private equity sponsors and portfolio companies is preferred
