Job Description

A highly regarded Midwest law firm is seeking a Commercial Finance Associate to join its Corporate, Mergers & Acquisitions Practice Group in Cincinnati. Direct commercial finance experience is preferred but not required as long as the candidate has transactional experience and the desire to specialize in commercial finance long-term. This opportunity is ideal for an attorney looking to build a sophisticated commercial finance practice while maintaining exposure to broader corporate and transactional matters. The position offers direct involvement in lender and borrower-side financing transactions, including commercial lending, acquisition financings, real estate financings, and other complex debt arrangements. Associates will work closely with the attorney leading the firm's Cincinnati finance practice and receive a level of mentorship, responsibility, and client exposure that can be difficult to find in larger finance groups. The role is supported by a broader firmwide finance platform, allowing attorneys to work on sophisticated transactions while playing a meaningful role in the continued growth of the Cincinnati practice.

Job Responsibility

  • Represent borrowers, lenders, and investors in financing transactions
  • Assist with structuring, negotiating, and documenting debt and capital arrangements
  • Draft and review credit agreements, loan documents, security agreements, and related transaction materials
  • Conduct due diligence and support transaction closings
  • Collaborate with attorneys across corporate, real estate, and tax practices
  • Participate in client communications and transaction strategy discussions

Requirements

  • J.D. from an accredited law school
  • Approximately 1+ years of experience in finance, corporate, banking, real estate, or related transactional practice
  • Excellent drafting, analytical, and organizational skills
  • Strong communication skills and client-service mindset
