Job Description

Semiconductor company has an immediate opening for a Corporate Counsel to join mid-size legal team in San Jose, California. This Corporate Counsel position is ideal for an attorney who can support a broad range of internal stakeholders while balancing legal risk with practical business objectives. The role will partner closely with teams across the organization to guide commercial matters, advise on strategic transactions, and help shape sound legal frameworks that support company growth. This Corporate Counsel must be able to work on-site full-time in San Jose, CA.

Job Responsibility

  • Advise departments across the business, including sales, finance, people operations, engineering, and corporate functions, on legal matters tied to day-to-day and strategic activities
  • Structure, draft, and negotiate a wide range of commercial agreements involving customers, suppliers, partners, and other third parties
  • Support complex transactions such as investment-related arrangements, joint development initiatives, licensing matters, and other business-critical deals
  • Review contract terms with a focus on protecting the company’s interests while enabling efficient and practical business outcomes
  • Provide legal guidance for domestic and international commercial relationships, including adapting agreements for region-specific requirements
  • Partner with internal stakeholders to identify potential legal exposure, recommend solutions, and communicate risk in a clear, actionable manner
  • Contribute to corporate governance, compliance, and related reporting obligations as needed across the business
  • Manage multiple priorities simultaneously and deliver high-quality legal support within demanding timelines

Requirements

  • Licensed attorney with at least 3 years of transactional legal experience, including a minimum of 1 year serving in an in-house environment
  • Background in corporate law with strong experience handling commercial transactions and negotiating contracts
  • Demonstrated ability to draft, revise, and negotiate commercial and licensing contracts with multinational organizations
  • Experience creating customized agreement structures for complex matters, including situations where standard templates are not sufficient
  • Strong written and verbal communication skills, with the ability to advise senior leaders and cross-functional teams effectively
  • Excellent attention to detail and sound judgment when evaluating legal and business risk
  • Ability to manage competing deadlines, stay organized, and maintain accountability in a fast-paced setting
