We are looking for a Corporate Counsel to provide part-time legal support for an 8-week Contract assignment. This role will advise growth-stage technology companies on commercial matters and employment-related issues, with a strong focus on practical guidance that supports business goals. The attorney in this position will work closely with startup leadership to shape agreements, assess legal risk, and deliver responsive counsel in a fast-moving environment.
Job Responsibility:
Counsel technology startup clients on legal matters tied to building and expanding sales and business development teams, including compensation frameworks and related documentation
Prepare, review, and negotiate a broad mix of business agreements such as software subscription contracts, platform terms, supplier arrangements, and employment-related documents
Advise clients on California employment law compliance, including workplace policies, wage and hour considerations, leave requirements, and scaling best practices
Translate business objectives and changing operational needs into clear, enforceable, and compliant contractual language
Partner with founders and cross-functional leaders to evaluate legal exposure and align contract terms with organizational priorities
Manage competing requests effectively while responding to time-sensitive issues common in startup settings
Requirements:
Active California bar membership in good standing
At least 3 years of experience supporting employment law matters and drafting commercial agreements for technology startups or other high-growth businesses
Demonstrated knowledge of compensation models for sales organizations, including variable pay structures and related employment agreements
Ability to work independently, organize priorities, and manage workload with minimal oversight
Strong background in commercial contracts, including SaaS and vendor agreements
Undergraduate degree in business, software, or a related field is preferred
Admission to both the California and New York bars is a plus
Experience with legal practice management tools such as Clio, along with prior in-house or solo practice experience, is preferred
