Job Description:

The Counsel for Baxter in the France and Benelux Cluster has primary responsibility for advice and counsel to the organization on all legal affairs of Baxter’s business segments within the Cluster. The role involves providing counsel on various legal areas, identifying risks, ensuring compliance, and collaborating with internal and external stakeholders. The candidate should be a qualified lawyer with experience in a multinational context and specialized in medical devices and pharmaceuticals.

Job Responsibility:

  • Advise the Company on corporate, commercial, M&A, regulatory, antitrust, public procurement, compliance, IP and other legal issues relating to the France and Benelux Cluster
  • Advise the Company on legal/contractual rights/responsibilities for high risk/profile contracts
  • drafting, reviewing, analyzing and negotiating contracts
  • Proactively identify legal risks for highest risk/profile issues and develop/approve an action plan
  • Provide counsel on a broad spectrum of business/Legal related initiatives and projects including, litigation, financing transactions, distribution projects, licensing, R&D projects, manufacturing, co-development and co-promotion transactions and other strategic alliances
  • Stay ahead of all legal, legislative, and regulatory developments, inform senior management in a timely manner and assure full compliance with new laws, regulations, or policy matters
  • Train Company on legal topics and cascade training and information throughout the organization, acting as strategic partner for the commercial, manufacturing operations and functional teams (in France and Benelux countries) to limit risk
  • find opportunities and suggest/implement solutions for better practices regarding structure, systems, and delivery of services
  • Establish strong relationships with internal and external constituents
  • responsible for relationships with law firms
  • Collaborate within Baxter Legal Function, including Ethics & Compliance and Data Privacy, to ensure efficient delivery of Legal resources

Requirements:

  • Proficient in French and English, with EMEA language skills a plus
  • Strong understanding of local laws and regulations, particularly in medical devices and pharmaceuticals
  • Excellent drafting and negotiation skills, providing practical and commercially-focused legal advice
  • Strong communication, problem-solving, and teamwork skills
  • Qualified lawyer with a French law degree and postgraduate degree, admitted to practice in France
  • At least 6 years of experience as a legal counsel or lawyer, preferably in a multinational company or law firm
