We are partnering with a well‑established, Minneapolis‑based investment management firm focused on private credit and direct lending within a specialized, asset‑backed sector. The firm is seeking a Corporate Counsel to join its in‑house legal team and support a growing direct lending platform. This role offers meaningful exposure to complex, middle‑market lending transactions from diligence through closing and beyond. The team is intentionally looking for a junior to mid‑level attorney (ideally 3–5 years of experience) who is eager to deepen their expertise in private credit and grow within a sophisticated investment environment.
Job Responsibility:
Serve as a core legal partner to the firm’s private credit platform, supporting direct lending transactions from early diligence through funding and post‑close matters
Prepare, review, and negotiate a wide range of financing and lending documents, including preliminary deal terms and definitive agreements
Advise on and manage ongoing loan activity, including amendments, consents, waivers, and other post‑closing modifications
Work closely with internal stakeholders across investment, compliance, and operations to align legal guidance with business objectives and regulatory requirements
Oversee and coordinate external counsel, ensuring high‑quality work product, efficiency, and practical deal execution
Identify and assess legal and commercial risk throughout the lifecycle of credit investments, including workouts and restructuring scenarios
Draft and negotiate confidentiality and related ancillary agreements in connection with transactions and business initiatives
Contribute to special projects and evolving legal needs as the platform continues to grow
Requirements:
Juris Doctor (JD) from an accredited law school
Admitted to practice in Minnesota
3–7 years of relevant legal experience in banking, finance, restructuring, and/or private credit
Strong drafting and negotiation skills
Familiarity with cash‑flow lending structures
Understanding of investment strategies
