We are looking for an experienced Corporate Counsel to join our team on a contract basis in San Diego, California. In this role, you will provide legal expertise across various corporate functions, ensuring compliance with regulatory requirements and supporting governance initiatives. This position offers a dynamic environment where you will address diverse legal matters, including intellectual property management and risk assessment.
Job Responsibility:
Advise on corporate governance matters to ensure compliance with applicable laws and regulations
Conduct risk assessments to identify potential legal issues and recommend solutions
Manage intellectual property portfolios, including trademarks and patents, to safeguard company assets
Draft, review, and negotiate contracts and agreements to support business operations
Provide legal guidance on corporate compliance programs to mitigate risks and ensure ethical practices
Collaborate with internal teams to address legal concerns and support strategic decision-making
Monitor changes in laws and regulations that may impact the organization and implement necessary adjustments
Oversee the development and maintenance of policies and procedures related to corporate compliance
Represent the company in legal proceedings or negotiations as needed
Support mergers, acquisitions, and other corporate transactions by providing legal advice and documentation
Requirements:
Minimum of 5 years of legal experience in corporate law or related fields
Strong expertise in corporate compliance and governance
Proven ability to conduct thorough risk assessments and develop effective strategies
Experience managing intellectual property portfolios, including trademarks and patents
Excellent contract drafting, review, and negotiation skills
Familiarity with relevant laws and regulations impacting corporate operations
Effective communication and collaboration skills to work with cross-functional teams
Juris Doctor (JD) degree and active license to practice law in the state of California
