We are looking for a Corporate Counsel to support growing technology companies on a Contract basis in Ramona, California. This part-time opportunity focuses on advising startup leadership on commercial agreements, employment-related matters, and practical legal strategies that align with business goals. The role is well suited to an attorney who can work independently, respond to shifting priorities, and provide clear guidance in a fast-moving environment.
Job Responsibility
Counsel startup clients on legal considerations related to building and managing sales and business development teams, including compensation structures and supporting documentation
Prepare, revise, and negotiate a variety of business agreements such as software subscription contracts, vendor arrangements, and employment-related documents
Advise clients on California employment law compliance, including workplace policies, wage and hour matters, leave requirements, and related risk areas
Translate business objectives and operational needs into clear, enforceable, and compliant contract language
Partner with founders and functional leaders to identify legal exposure, balance risk, and support informed business decisions
Manage multiple client requests with sound judgment, adjusting priorities quickly to address time-sensitive issues common in startup settings
Requirements
Active admission to the California Bar and good standing status
Demonstrated experience supporting technology startups or high-growth businesses with employment law and commercial contracting matters
Strong knowledge of compensation models for sales organizations, including variable pay structures and related employment agreements
Ability to work autonomously, organize competing priorities, and deliver high-quality legal support with minimal oversight
Background in drafting and negotiating commercial agreements, including SaaS and vendor contracts
Undergraduate education in business, software, or a related field is preferred
Admission in both California and New York is a plus
Prior in-house counsel, solo practice experience, or familiarity with legal management tools such as Clio is advantageous
