Our client is currently seeking a Corporate Counsel to serve as the corporations primary legal advisor and is responsible for managing legal affairs. This role provides strategic and day-to-day legal guidance to leadership and business units, ensuring compliance with applicable laws and supporting organizational objectives.
Job Responsibility:
Oversee the internal legal function, including supervision of staff and coordination with outside counsel
Manage outside counsel relationships, including engagement, performance, and budgeting
Advise executive leadership on legal risks and significant matters
Draft, review, and negotiate a variety of legal documents, including lending, real estate, and vendor agreements
Provide guidance on federal and state regulatory requirements, including consumer lending laws such as TILA, TRID, ECOA, and RESPA
Support credit and special assets functions on restructurings, collections, foreclosures, and bankruptcies
Oversee records retention, legal holds, and document preservation
Coordinate legal aspects of litigation, audits, regulatory examinations, and insurance matters
Provide legal counsel to the board of directors and its committees
Prepare and review governance documents, including bylaws, resolutions, and policies
Attend board and committee meetings as needed
Monitor legal and regulatory developments impacting the organization
Develop and maintain policies, procedures, and training programs
Ensure adherence to ethical standards, data privacy, and security requirements
Requirements:
Juris Doctor from an accredited law school
Minimum of 7 years of relevant legal experience
Licensed to practice law in at least one of the following states: Delaware, Maryland, Pennsylvania, Virginia, or West Virginia
Experience with commercial and real estate law, UCC, and banking regulations
Familiarity with creditor’s rights, consumer lending compliance, and employment matters
Knowledge of litigation processes, bankruptcy, and dispute resolution
Strong analytical and problem-solving skills with sound judgment
Ability to communicate complex legal issues clearly to non-legal stakeholders
Effective organizational skills and ability to manage multiple priorities
Strong interpersonal skills and ability to work collaboratively across departments
