We are looking for an experienced Corporate Counsel to join our team on a part-time, contract-to-permanent basis. This role is ideal for a legal expert with a background in employment law and corporate contracts, particularly within the technology startup space. You will have the opportunity to advise high-growth companies, collaborate with leadership teams, and provide strategic legal guidance in a fast-paced environment.
Job Responsibility:
Offer legal counsel to Series A/B technology startups, focusing on building sales and business development teams, including drafting compensation plans and related agreements
Draft, review, and negotiate various commercial contracts, such as SaaS subscription agreements, vendor contracts, and employment agreements
Provide expert advice on California employment law, addressing wage and hour regulations, leave policies, and compliance best practices
Translate business requirements from tech leaders into actionable, compliant contracts that align with organizational goals
Collaborate with founders and department heads to evaluate legal risks and ensure contracts support business objectives
Manage client priorities effectively, addressing urgent legal matters in a dynamic startup environment
Stay current with evolving laws and industry trends to ensure clients receive the most relevant legal guidance
Requirements:
Active and in-good-standing admission to the California bar
At least three years of experience in employment law and commercial contract drafting for technology startups or high-growth companies
Strong knowledge of sales team compensation structures, including variable pay and employment agreements tailored to tech sales functions
Ability to work independently, prioritize tasks, and manage time effectively in a fast-paced setting
Nice to have:
Undergraduate degree in business or a software-related field is preferred
Dual admission to both California and New York bars is a plus
Familiarity with legal management platforms like Clio is advantageous
Previous in-house counsel or solo practice experience is desirable
