As Corporate Counsel, you’ll be a key legal partner supporting Aurora’s continued growth and scale. Reporting to the Head of Legal, you’ll advise on a wide range of corporate matters, including financing and securities transactions, equity administration, corporate governance, and regulatory compliance. This is a hands-on, high-impact role on a small but mighty legal team. You’ll work closely with cross-functional partners across Finance, People, Product, and the broader business by helping Aurora navigate complexity, manage risk thoughtfully, and move forward with confidence.
Job Responsibility:
Advise on a broad range of corporate and securities matters, including financings, equity issues, and strategic transactions
Support equity administration, equity plan compliance, and cap table management, partnering closely with Finance, Stock Administration, and People on grants, exercises, reporting, and compliance
Own and drive complex, multi-step projects from issue identification through resolution, balancing legal rigor with practical business needs
Contribute across a wide array of legal areas, including regulatory, employment, intellectual property, commercial, and international matters
Support securities and strategic transactions end to end, including diligence, drafting and negotiating agreements, coordinating stakeholders, and post-close follow-through
Manage corporate governance matters for Aurora and its subsidiaries, including board and committee materials, resolutions, minutes, and policies
Provide clear, actionable legal guidance to business leaders and the People team on employment law matters in the U.S. and internationally
Develop, review, and interpret corporate and people-related policies, guidance documents, and internal communications, partnering closely with People and business leaders
Advise on the legal and practical implications of corporate changes, including mergers and acquisitions, on Aurora’s operations and employees
Assist with vendor and commercial contracts as needed, providing pragmatic guidance that supports the business while managing risk
Deliver practical, business-forward legal guidance on commercial strategy and risk, partnering cross-functionally to enable product launches, improve processes, and scale responsibly
Support litigation and dispute matters by coordinating with outside counsel and contributing to strategy, fact development, and resolution
Requirements:
5+ years of experience practicing corporate and securities law, including at least 2 years at a top-tier law firm
Active membership in a U.S. state bar in good standing (California or New York preferred)
Strong foundation in corporate governance, equity, and securities matters, with comfort navigating ambiguity and novel issues
Excellent legal judgment and problem-solving skills, with the ability to translate complex issues into practical business guidance
Clear, persuasive written and verbal communication skills, and the ability to collaborate effectively across teams and seniority levels
A proactive, self-directed approach, with strong organizational skills and a bias toward ownership and follow-through
Strong analytical and problem-solving skills, with the ability to synthesize legal research, facts, and data into practical, cost-effective solutions for the business
Nice to have:
Experience advising on regulatory, policy, and compliance matters relevant to technology companies, including data privacy and data protection, ESG, and other evolving regulatory frameworks
Familiarity with privacy laws and compliance requirements such as GDPR, CCPA/CPRA, or other U.S. state privacy regimes
Experience developing, implementing, or maintaining internal compliance programs policies, and training materials in a fast-scaling, international environment
In-house legal experience at a technology company, particularly in a fast-growing or scaling environment
