The firm is seeking a Corporate Attorney to join its fully remote team. This role focuses primarily on private-company M&A, corporate governance, and startup financing, while working closely with founders and leadership teams in emerging industries. Attorneys in this role will serve as outside general counsel to a portfolio of clients, providing practical, business-oriented legal advice as companies grow and navigate complex corporate decisions.
Job Responsibility:
Mergers & Acquisitions (Primary Focus): Support and lead private-company M&A transactions on both the buy side and sell side
Draft and negotiate asset purchase agreements, stock purchase agreements, and related transaction documents
Work on transactions involving privately held companies and private equity
Corporate Governance: Draft and revise operating agreements, bylaws, and board resolutions
Work with startup clients to structure ownership, equity, and governance frameworks
Review and rebuild existing corporate documentation to align with client goals and operational needs
Startup & Venture Financing: Assist with seed, Series A, and Series B financings
Support clients through venture fundraising and investor negotiations
Tax Matters: Identify potential tax considerations within transactions and corporate structures
Collaborate with internal or external specialists as needed (approximately 10-15% of workload)
Requirements:
Minimum 3–6+ years of corporate law experience, preferably at a law firm
Licensed to practice law and in good standing in at least one U.S. jurisdiction
Strong experience with private-company M&A transactions (buy-side and sell-side)
Experience drafting or revising corporate governance documents such as operating agreements, bylaws, and board resolutions
Familiarity with venture financing transactions (seed through Series B)
Foundational tax awareness sufficient to identify issues and collaborate with tax professionals
Strong drafting, analytical, and client communication skills
Ability to translate complex legal concepts into clear, practical advice, particularly for early-stage founders and entrepreneurs
Interest in or exposure to emerging industries such as gaming, sports, content creation, esports, or digital platforms
