Seeking an attorney with 2–6 years of corporate transactional experience to support a growing non-litigation, corporate practice based in Denver or Boulder. This role focuses on advising emerging and established companies on a broad range of corporate matters, including financings, M&A, and governance, while working closely with clients and internal legal teams.
Job Responsibility:
Review, draft, and negotiate corporate agreements, including entity formations, early-stage equity financings, credit facilities, and mergers and acquisitions
Conduct due diligence, prepare disclosure schedules, and manage capitalization tables
Advise on corporate governance matters, including board and stockholder consents, minutes, and certificates
Support transaction execution through preparation of correspondence, memoranda, and related documentation
Collaborate with clients and subject matter experts to ensure agreements align with business objectives and compliance requirements
Manage multiple matters simultaneously in a fast-paced, deadline-driven environment
Requirements:
Licensed in Colorado or willing to obtain Colorado licensure
2–6 years of experience in corporate transactions at a top national or international law firm
Strong drafting, communication, and negotiation skills with the ability to explain complex legal issues clearly
Highly organized, detail-oriented, and able to independently manage competing priorities
Strong interpersonal skills with a collaborative, team-oriented mindset
Proficiency with Microsoft Office and related legal productivity tools
