Job Description

We are seeking a corporate attorney to join a growing corporate and technology-focused practice on‑site in San Jose, CA. This Corporate attorney will advise startups, emerging growth companies, and investors on a wide range of corporate and transactional matters, supporting clients through all stages of growth from formation to complex transactions.

Job Responsibility

  • Advise clients on general corporate matters, including company formation, governance, and compliance
  • Support public and private mergers and acquisitions, including drafting and negotiating transaction documents
  • Represent emerging growth and technology companies in seed, venture, and later-stage financings
  • Assist with technology transactions, commercial agreements, and strategic partnerships
  • Counsel clients on corporate structuring, investor relations, and day‑to‑day legal needs
  • Collaborate with attorneys across practice groups to support transaction execution and client growth

Requirements

  • 3–7 years of corporate law experience
  • Experience with M&A, venture financings, and general corporate matters
  • Background working with technology or emerging growth companies preferred
  • Strong drafting, communication, and analytical skills
  • Ability to manage multiple matters in a fast‑paced, team‑oriented environment
  • Admission to the California Bar preferred
