We are looking for a skilled Corporate Associate to join our team in Buffalo, New York. In this role, you will provide legal counsel on a variety of corporate matters, including business formation, contract negotiations, mergers and acquisitions, and compliance strategies. Your expertise will play a crucial role in guiding clients through complex legal processes and ensuring their success in a dynamic business landscape.
Job Responsibility:
Provide legal advice and representation on business formation and general corporate matters
Draft, review, and negotiate contracts and agreements, including shareholder agreements, operating agreements, partnership agreements, SaaS agreements, and commercial leases
Assist with mergers and acquisitions by conducting due diligence, preparing transactional documents, and supporting closing procedures
Develop and implement strategies for corporate compliance and risk management
Negotiate and draft commercial contracts tailored to diverse client needs
Stay informed about changes in laws and regulations affecting business clients
Build and maintain strong relationships with clients by delivering personalized legal solutions
Conduct thorough legal research to support client needs and case strategies
Collaborate with colleagues to provide comprehensive legal services and ensure client satisfaction
Requirements:
Juris Doctor (JD) degree from an accredited law school
Licensed to practice law in the state of New York
3-5 years of experience in business law, with a focus on corporate transactions
Strong background in mergers and acquisitions
Demonstrated ability to handle complex legal issues independently
Exceptional analytical, negotiation, and communication skills
Attention to detail with the ability to work both independently and collaboratively
Proficiency in legal research tools such as Westlaw or LexisNexis
