We are looking for a skilled Corporate Associate to join our Corporate Practice in Stamford, Connecticut. The ideal candidate has 3–6 years of experience in corporate law, with a focus on mergers and acquisitions (M&A) and general transactional matters. This role offers the opportunity to work closely with partners and clients, handling complex transactions and providing strategic legal counsel.
Job Responsibility:
Handle a variety of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and strategic investments
Draft, review, and negotiate key transactional documents such as purchase agreements, merger agreements, and shareholder agreements
Conduct comprehensive due diligence, analyzing corporate records, contracts, and regulatory filings, and prepare detailed summaries
Assist with transaction structuring, manage deal timelines, and oversee closing processes
Provide legal advice on corporate governance, entity formation, capitalization, and regulatory compliance
Collaborate with attorneys across various practice areas, including tax, finance, employment, and litigation, to address complex legal issues
Supervise and mentor less experienced associates and paralegals, offering guidance on transactional matters
Maintain direct communication with clients, fostering strong relationships and delivering tailored legal strategies.
Requirements:
Juris Doctor (JD) degree from an accredited law school
3–6 years of experience in transactional law, including drafting and negotiating key deal documents
Strong knowledge of corporate governance, business structures, and M&A processes
Exceptional drafting, analytical, and organizational skills
Proven ability to manage multiple transactions in a fast-paced environment
Keen attention to detail and sound business judgment
Team-oriented mindset with a proactive and solutions-focused approach
Ideally admitted to the Connecticut Bar
however, admission is not required at the time of application. Candidates must be eligible for admission and commit to obtaining Connecticut Bar admission within three months of their start date.
