Job Description:

The Corporate and M&A team has over 20 individuals focussed on delivering high quality transaction tax services to private equity houses and acquisitive corporates across a range of sectors. The team has a focussed growth plan and your contribution will add to this. This role of Associate Director requires an experienced transaction tax operative who is comfortable leading a range of tax due diligence, both buy side and sell side, and tax structuring assignments. The role will require working closely with other members of the team including tax specialist colleagues in VAT, Employment Taxes etc and with colleagues in Transaction Services. The role requires technical excellence as well as the ability to think commercially and to communicate tax technical issues to various stakeholders.

Job Responsibility:

  • Lead a variety of tax due diligence and tax structuring projects, working closely with other specialists within the firm and the transaction support team
  • Develop your own network of contacts internally and externally and start winning own work and cross selling
  • Be responsible for client take on and engagement procedures and managing risks around projects
  • Respond quickly to, as well as anticipating, client requests/needs, keeping clients informed of progress in relation to all aspects of the transaction service provided, and maintaining regular contact with clients and internal stakeholders
  • Input into legal documents and forecast models
  • Be responsible for coaching and developing junior members of staff
  • Contribute to the development of certain key transaction relationships, e.g. key private equity accounts

Requirements:

  • An in depth, up to date, knowledge of taxation with specialist knowledge and the ability to deal with complex tax issues arising on transactions
  • Demonstrable relevant transactions experience
  • Project and staff management experience
  • Ability to develop client relationships and to sell new services to existing clients
  • Experience of dealing with client senior management and other stakeholders such as legal advisers
  • Educated to degree level and/or CTA and/or ACA qualified or equivalent

  • Assist with the preparation and review of filings, and oversee the payments for all US Federal & State income tax returns
  • Monitor the evolving and complex landscape of US tax regulations, assess their implications for KAYAK, and ensure ongoing compliance
  • Manage US tax audits and inquiries from tax authorities (IRS and state/local), as applicable
  • Maintain compliance with all taxes, including actively seeking alignment and consistency with Booking Holdings Tax Team and sister brands
  • Prepare and provide accurate and timely US data for monthly, quarterly, and annual group tax reporting requirements, including the global tax provisions (in accordance with ASC 740) and ensure corporate deliverables and inquiries are accurately and timely addressed
  • Perform an analysis and prepare documentation for uncertain tax positions in accordance with ASC 740
  • Manage compliance efforts for SOX 404 for all tax function controls and documentation requirements
  • Be responsible for KAYAK’s tax reporting, managing the tax aspects of the monthly financial close process, journal entries and disclosures and analysis of tax balance sheet accounts to ensure compliance and the integrity of our financial reporting in accordance with US GAAP
  • Support the wider KAYAK tax team, with the management of the Transfer Pricing (“TP”) strategy and compliance, including assisting with TP calculations, provision of data to support the preparation of TP documentation and monitoring of the company’s global TP policy within NORAM
  • Foster strong cross-functional relationships with Finance, HR, Legal, and FP&A teams, as well as the Booking Holdings Tax team, to ensure alignment, accuracy, and adequacy on key regional tax matters and to support compliance and reporting requirements
