A growing technology company is seeking a Contracts Manager to join its in‑house legal team. This role is ideal for someone who thrives in a fast‑paced, collaborative environment and enjoys working across departments to support commercial contracting activities. The Contracts Manager will be responsible for drafting, reviewing, and negotiating a wide range of commercial agreements and helping drive efficient contract processes in alignment with company policies.
Job Responsibility:
Draft, review, and negotiate a broad variety of commercial agreements, including SaaS subscription agreements, partner agreements, NDAs, MSAs, DPAs, BAAs, vendor and services agreements
Identify non‑standard terms, ensure alignment with corporate guidelines, and propose appropriate revisions
Collaborate closely with internal stakeholders across sales, finance, operations, procurement, and other business units
Understand the business objectives behind each transaction, surface and communicate key legal or commercial risks, and provide clear risk/benefit analysis
Escalate relevant issues to senior legal team members when appropriate
Coordinate internal contract reviews to ensure timely, accurate feedback and smooth approval cycles
Balance deal velocity with legal and compliance requirements across the contracting lifecycle
Assist in maintaining and enhancing contracting templates, playbooks, workflows, and best practices
Requirements:
Bachelor’s degree and 5+ years of experience in contract management or commercial transactional roles
Background supporting B2B SaaS or other fast‑paced technology environments
Strong understanding of SaaS commercial models, subscription structures, and standard contract terms
Experience negotiating agreements involving privacy, data protection, and data security obligations
Exceptional attention to detail, strong communication skills, and the ability to manage multiple projects independently
Sound business judgment and the ability to spot issues quickly and propose practical solutions
Nice to have:
Ability to learn new information quickly and produce accurate work under tight timelines
Demonstrated success partnering cross‑functionally and building strong relationships with business stakeholders
Familiarity with legal and ethical considerations related to AI and machine learning technologies
Experience with contract lifecycle management tools (e.g., Ironclad, LinkSquares, or similar platforms)
Knowledge of privacy and regulatory frameworks such as GDPR, CCPA, HIPAA, and emerging AI‑governance rules
Strong understanding of AI law and governance frameworks
Expertise in the privacy and data protection landscape
Robust experience with SaaS contracting, including DPAs, AI addenda, and HIPAA‑related BAAs
Ability to incorporate AI tools appropriately—leveraging them for efficiency while maintaining independent analysis and legal reasoning
