Our client advises hospitals, health systems, physician groups, academic medical centers, and payers on strategy, operations, finance, and performance improvement to help organizations navigate complex industry challenges and improve care delivery. The Contracts Manager/Paralegal will help facilitate contract intake, drafting, negotiating, and reviewing; participate in policy review, compliance auditing and monitoring; and will oversee the contract lifecycle management tool.
Job Responsibility:
Draft, negotiate, & review a wide range of contracts, including MSAs, client/vendor agreements, subscription agreements, subcontractor agreements, SOWs, NDAs, data privacy agreements, and BAAs
Subject matter expert and administrator for CLM platform (e.g., Cobblestone, Agiloft, IronClad)
contract intake, metadata accuracy, workflows, reporting, and user access
Lead selection and implementation of AI metadata capture tool in partnership with legal and compliance
Ensuring contract provisions align with applicable laws, regulations, and industry standards (HIPAA, CCPA, etc.)
support audits and risk mitigation
Assist with compliance training and development of policies and procedures
Liaison between legal, consulting teams, and operations to align contracts with business needs
Requirements:
Bachelor’s degree with ABA‑approved paralegal certificate preferred
5-7+ years in contract management or paralegal roles (consulting, healthcare, or professional services preferred)
Prior experience with agreement drafting and negotiation required
Experience administering CLM platforms, DocuSign, Microsoft Office, SharePoint/Teams
Strong knowledge of HIPAA and data privacy regulations (CHC certification a plus)
Excellent communication skills, attention to detail, and ability to manage multiple deadlines in a fast‑paced environment
