Job Description

The Contract Advisor – Privacy & Data is responsible for drafting contracts requiring a higher degree of independence and skill, for the daily management of the privacy and data related agreement and amendment process for assigned contracts, and serves as a point of escalation for issues requiring a higher degree of enterprise knowledge and understanding. Duties include intake, initial review, and approval of nonstandard agreements; vetting of revisions; and drafting of custom language. The position’s responsibility also includes preparation of other client agreements and related documents, including facilitation and/or support of contract negotiations, legal review, and signature processes. The Contract Advisor serves as the primary privacy and data support and interface with the supported Business Units, Procurement, Legal, Business Subject Matter Experts and external clients, or other third parties. The role will support, maintain, and communicate processes and procedures to ensure roles and responsibilities are clearly defined within and outside the applicable contracting department. They will also support quality efforts by analyzing and recommending process improvements to improve overall contracting process quality, efficiency and internal/external client satisfaction. In addition, the role will support the education and training of contracting team members.

Job Responsibility

  • Manage and/or support the privacy and data agreement and amendment request and preparation processes (e.g. business associate agreements, data use provisions, data use agreements, confidentiality/non-disclosure agreements) and also other contracts including procurement contracts
  • Facilitate and/or support negotiations, legal review and signature processes for privacy and data related agreements and also other contracts
  • Coordinate appropriate business and legal review/response of negotiated privacy or data documents, procurement contracts and serve as an escalation point for issues requiring a higher degree of enterprise knowledge and understanding
  • Maintain and communicate processes and procedures to ensure roles and responsibilities are clearly defined within and outside the organization
  • Support quality improvement efforts by analyzing and recommending process improvements to improve overall contracting process quality, efficiency and internal/external client satisfaction
  • Support the education and training of cross-functional teams and team members

Requirements

  • Bachelor’s degree in law from a reputed law school
  • 4-8 years of relevant experience preferable in the healthcare industry and in global capability centers
  • Experience drafting and negotiating privacy and data related agreements and amendments, including business associate and data use agreements, procurement contracts and other contracts
  • Experience conducting privacy impact assessments, data mapping and data processing activities
  • Excellent verbal and written communication skills
  • Strong organizational skills, including ability to manage timelines and balance multiple deadlines
  • Strong focus on customer service
  • Ability to adapt to a dynamic work environment, quickly grasp new concepts, solve problems and make decisions
  • Ability to work cross-functionally resolve complex contract issues and negotiate solutions across global teams
  • Ability to work with internal and external partners at all levels of management
  • Proficient in Microsoft Office (Word, Excel, Outlook, Sharepoint)
