Job Description:

We are looking for a skilled Contract Attorney to join our team in San Diego, California. This contract position offers the opportunity to work on high-impact commercial sales agreements and enterprise transactions. The ideal candidate will bring both legal expertise and practical business insight to drive successful contract negotiations and ensure compliance with corporate governance standards.

Job Responsibility:

  • Lead and oversee the negotiation process for commercial sales agreements, ensuring deals are closed efficiently and with minimal oversight
  • Manage the deal desk function by coordinating contract intake and collaborating across departments to facilitate seamless execution
  • Draft, review, and negotiate enterprise agreements covering hardware, SaaS, and other commercial products or services
  • Develop and implement contract templates, playbooks, and fallback positions to optimize the contracting process
  • Partner with various teams to gather necessary input, address concerns, and align contract terms with business goals
  • Provide clear and actionable guidance to the Sales team throughout the lifecycle of contract negotiations
  • Support corporate governance activities by preparing meeting materials, drafting minutes, and assisting with corporate resolutions
  • Demonstrate a hands-on approach by contributing to various tasks and ensuring execution-focused support across legal operations

Requirements:

  • Must hold an active attorney license in good standing
  • At least five years of experience in negotiating and managing complex commercial contracts
  • Strong expertise in handling sales agreements for hardware, SaaS, and other enterprise products
  • Familiarity with corporate governance practices and the ability to draft resolutions and meeting minutes
  • Proven ability to collaborate across departments and manage multiple priorities
  • Exceptional communication skills, with the ability to provide practical legal advice to non-legal stakeholders
  • Detail-oriented and capable of developing standardized templates and processes
  • Experience in working on high-stakes transactions with minimal supervision
