Job Responsibility

  • Support and facilitate subsidiary board and committee meetings including preparation of agendas, minutes, resolutions, secretarial certificates, corporate affidavits and follow up items as needed
  • Manage board calendars and consult with internal stakeholders to ensure timetables are met
  • Communicate with board members and business areas regarding board papers meeting logistics and action items
  • Prepare and arrange execution and filing of company documents and statutory filings
  • Maintain company registers and respond to Know Your Client (KYC) requests for subsidiaries
  • Provide assistance with corporate secretarial matters in other jurisdictions as required
  • Compliance and verification checks with Global Ethics and Compliance teams
  • Support the Senior Legal Counsel in administering compliance obligations and risk frameworks including but not limited to privacy and AML/CTF
  • Assist in developing and implementing localized compliance policies and procedures
  • Promote a culture of compliance and integrity across regional operations
  • Assist with the review and preparation of all disclosure and governance documents for vacation club operations within Asia and Middle East
  • Maintain updated records of governance documents
  • Support and assist in the preparation of compliance reporting and assist with internal/external audits as required

Requirements

  • Previous work experience in a company secretarial or corporate governance role is an advantage
  • Legal, paralegal, corporate secretarial, or audit experience and qualifications would be ideal
  • Intermediate to advanced Microsoft Office skills including Word, Excel and MS Outlook
  • Excellent attention to detail and organisational skills, with the ability to manage competing priorities
  • Knowledge of relevant law, regulations and policies or the ability to learn and apply these
  • Sound verbal and written communication skills and confidence to communicate and advise all levels of the business up to and including the Executive team
  • Excellent organizational skills and the ability to work in a fast paced environment
