Job Description:

We are seeking an experienced and trusted Company Secretary to join our privately owned group, based in the Isle of Man. This is a senior, group-wide role with responsibility for governance and company secretarial matters across entities in the Isle of Man, the UK and Jersey. This position plays a central role in supporting boards and senior stakeholders, ensuring the group’s statutory, regulatory and governance obligations are met with rigour, accuracy and professionalism. It will suit an established Company Secretary who enjoys combining technical expertise with a practical, hands-on approach in a complex, multi-entity environment.

Job Responsibility:

  • Acting as Company Secretary for group entities in the Isle of Man, UK and Jersey
  • Supporting boards and shareholders through the effective organisation of meetings, including agendas, papers, minutes and follow-up actions
  • Ensuring timely and accurate statutory filings, annual returns and confirmation statements
  • Maintaining statutory registers, corporate records and beneficial ownership information
  • Managing incorporations, restructurings and dissolutions of companies and associated trust structures
  • Keeping governance frameworks, internal processes and documentation up to date with evolving legislation
  • Acting as a key liaison point with trustees, banks, legal, tax and finance advisers
  • Overseeing day-to-day company secretarial administration, including digital filing systems, registers, checklists and execution of documents

Requirements:

  • Proven experience in a company secretarial or corporate governance role within a multi-entity, multi-jurisdiction environment
  • Strong working knowledge of Isle of Man, UK and Jersey company law, with experience of JFSC requirements highly desirable
  • Hands-on experience drafting minutes and resolutions, managing statutory filings, and overseeing incorporations and dissolutions
  • Confidence using company secretarial systems such as Quantios and document management platforms
  • Excellent organisational skills, attention to detail and the ability to manage competing priorities
  • Clear, professional communication skills and the credibility to work effectively with senior stakeholders
  • ICSA / CGI qualified or close to qualification, or an equivalent legal or governance qualification
  • Evidence of continued professional development and a strong technical foundation
